PNG is a Portable Network Graphics, which is look better than JPG since JPG is a compressed image(so cameras use that format).
PNG can hold layers in it, if you use it with Adobe Fireworks or Photoshop you can edit those layers later, Fireworks use PNG format Photoshop use PSD format for save layers and any other information to the image file.
Transparent background is an option in Photoshop for make the background transparent. However, if you save the image in jpg, bmp or any other format the transparent background is going to missing, and you see white background. So you need to save transparent images to PNG format, of course you can use GIF format to but GIF looks really bad since that format is for animations.

Png holds images by layers and you can edit the layers?? 
EDIT: @Legendaryss4 Well I do realize that People say that only when they feel that when someone is a fool acc to them but they do not want to tell aloud about it.
