Use Blender for modeling if you do not want to buy 3D Studio Max --> http://www.blender.org/
For learning how to model, check some online tutorials, watch some tutorials on youtube, and experiment
In this game, those shader files determine how will the model look like, and what texture will it have.
Textures are just that, textures. They add color, shape it up, and make your model look normally. You should use Photoshop, or Gimp for making textures. Again, find some online tutorials for it.

Thanks, I will try do that.
I want to open models already done but it appears a error message that must be .blend extension. What should I do?

What kind of file you want to open?
A ZEQ2Lite model?
you'll need an MD3 importer. Google for it.
